2026 Annual General Meeting approves capital measures and resolves on a dividend of 14 cents per share

NORMA Group SE held its Annual General Meeting as an in-person event in Frankfurt am Main on July 1, 2026. Including postal votes, just under 61% of NORMA Group SE’s registered share capital was represented.

The Annual General Meeting approved a capital reduction unter the simplified procedure. Through a public share repurchase offer, NORMA Group SE shares worth up to EUR 208 million are to be acquired and subsequently retired. The measure is the second step in returning proceeds from the sale of the Water Management business to shareholders. The buyback offer will be made as soon as possible after the legal requirements have been met.

In spring 2026, NORMA Group had already successfully completed a public share buyback offer amounting to around EUR 53 million. Since then, the Company has held the repurchased shares, representing almost 10% of the share capital, as treasury shares. Upon completion of the capital reduction, up to EUR 260 million will have been returned to NORMA Group shareholders. The total net cash inflow from the sale of the Water Management business amounted to EUR 650 million.

The shareholders represented at the meeting also approved the renewal of the authorization to acquire treasury shares representing up to 10% of the share capital, which had been used for the share buyback offer.

NORMA Group’s Annual General Meeting voted by an equally large majority in favor of the proposal to pay out a dividend of 14 cents per share. The total distribution amount is approximately EUR 4.0 million (2025: EUR 12.7 million). This equates to a payout ratio of approximately 31% of the adjusted consolidated net profit in the 2025 fiscal year. The payout ratio is thus once again within NORMA Group’s strategic dividend corridor of 30% to 35% of adjusted consolidated net profit.

In addition, the Annual General Meeting elected Benjamin Schmid, Investment Partner at Teleios Capital Partners LLC, as a new Supervisory Board member and approved the reduction of the Supervisory Board from six to five members. Kerstin Müller-Kirchhofs and Dr. Erek Speckert stepped down from the Supervisory Board effective at the close of the Annual General Meeting on July 1, 2026.

The shareholders also approved all other agenda items with large majorities.
